FrugalQuote LLC ("FrugalQuote", "Company", "we", "us", or "our") provides a mobile and web application that helps service professionals create estimates, manage client information, and send professional quotes and communications (the "Service" or "App").

By downloading, registering for, or using the Service, you agree to these Terms of Service ("Terms"). If you do not agree, you must not use the Service.

1. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction, and you must have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Account Registration

To access certain features, you must create an account. You agree to provide accurate, complete, and up-to-date information. You are fully responsible for all activity that occurs under your account and for keeping your password secure. Notify us immediately of any unauthorized use of your account. Accounts are non-transferable.

3. License Grant

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your own legitimate business purposes (creating estimates, storing client information, and sending related communications).

4. Prohibited Conduct

You agree not to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying algorithms, or structure of the Service
• Create derivative works based on the Service or any part of it
• Use the Service to build a competing product or service
• Scrape, mine, or automatically extract data from the Service
• Resell, sublicense, lease, rent, or share access to the Service with any third party
• Send illegal, spam, defamatory, or harmful content through the Service
• Violate any applicable laws or third-party rights

5. Credits and Billing

The Service operates on a pay-as-you-go basis using credits. One (1) credit is consumed each time you successfully send an estimate or invoice by email. Pricing, available credit pack sizes, and expiry windows are presented within the App and on the pricing page. There are no subscriptions, recurring charges, or automatic renewals. You authorize us and/or our payment processors to charge your payment method for the specific credit pack you select at the time of purchase. All credit purchases are non-refundable except where required by law. We may change prices with advance notice; any credits already in your account at the time of a price change are unaffected.

6. Use Without Credits

You may create and preview estimates at no cost without purchasing credits. Sending documents by email, downloading PDFs, and using the Copy Link / Text feature each require an active credit balance as described in the App and on the pricing page. Resending the exact same unchanged document does not deduct a credit and does not require an active credit balance; any content change (such as editing line items, or adding payments or change orders) counts as a new send and consumes one (1) credit.

7. Client Data and Email Communications

You are solely responsible for obtaining all required consents from your clients before storing their information or sending them emails/estimates through the Service. You must comply with all anti-spam laws (including CAN-SPAM) and data protection laws when using our email features.

8. Copy Link / Text Sharing Feature

FrugalQuote includes a "Copy Link / Text" feature that copies a shareable link to your estimate or invoice — along with your business name and an optional link to your business website — to your device's clipboard, which you can then paste into any messaging app, text message, or other channel of your choosing. You — not FrugalQuote — are the sender of any message you create and send using this feature. By using this feature, you agree to the following:

• You have obtained any required consent from the recipient before sending them a message
• You will only use this feature to send legitimate business communications (estimates and invoices) to clients who expect to hear from you
• You will comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA) and any relevant state regulations, when sending text messages
• Standard carrier message and data rates may apply to you and/or the recipient
• FrugalQuote does not transmit, deliver, or store the message you send; we only generate the link you paste, and FrugalQuote is not responsible for any claims, disputes, or liability arising from messages you send using this feature

This feature is intended for use within the United States. Use outside the US is at your own risk and subject to the laws of your jurisdiction.

9. User Content

You retain ownership of the data and content you upload or create ("User Content"). By using the Service, you grant us a worldwide, royalty-free license to host, store, process, and transmit your User Content as needed to provide the Service.

10. Third-Party Services

The Service may integrate with third-party tools (e.g., email or payment services). Your use of those services is governed by their own terms. We are not responsible for third-party services.

11. Intellectual Property Ownership

The Service, including without limitation its software code, architecture, algorithms, design, user interface, graphics, trademarks, logos, and all related technology and materials (collectively, "FrugalQuote IP"), are the exclusive property of FrugalQuote LLC and/or its licensors. All rights, title, and interest in the FrugalQuote IP are reserved and protected by United States copyright, trademark, and other intellectual property laws.

You receive no ownership rights in the Service or any FrugalQuote IP. Any unauthorized use of the FrugalQuote IP is strictly prohibited.

WARNING — Unauthorized Copying, Cloning, or Theft of Application: Any person or entity that copies, clones, reproduces, reverse engineers, scrapes, or otherwise misappropriates the FrugalQuote application — including its source code, design, architecture, workflows, user interface, or any proprietary technology — without express written authorization from FrugalQuote LLC is subject to civil and criminal prosecution under applicable United States federal and state law, including but not limited to the Computer Fraud and Abuse Act (18 U.S.C. § 1030), the Digital Millennium Copyright Act (17 U.S.C. § 1201), and applicable copyright and trade secret statutes. FrugalQuote LLC actively monitors for unauthorized use and will pursue all available legal remedies, including injunctive relief, statutory damages, and attorney's fees.

Copyright Infringement: All HTML, CSS, text, images, graphics, layouts, and other content comprising the FrugalQuote application are protected by copyright law, which attaches automatically at the moment of creation (17 U.S.C. § 102). Duplicating, reproducing, or distributing any portion of this application's content or code — in whole or in part — without prior written permission from FrugalQuote LLC constitutes copyright infringement and may result in civil liability including statutory damages of up to $150,000 per willful infringement, as well as criminal penalties.

Trademark Violations: "FrugalQuote" and all associated logos, brand names, slogans, and trade dress are trademarks of FrugalQuote LLC. Unauthorized use of the FrugalQuote name, logo, or any confusingly similar mark — including to create a competing product, deceive consumers, or suggest affiliation with FrugalQuote — constitutes trademark infringement and unfair competition under the Lanham Act (15 U.S.C. § 1051 et seq.) and applicable state law. FrugalQuote LLC will aggressively pursue all legal remedies available against any party engaging in such conduct.

Any feedback you provide may be used by us without compensation or attribution.

12. Termination and Data Retention

You may close your account or delete your data at any time through the App. We may suspend or terminate your access immediately for breach of these Terms or harmful conduct. Upon termination, your license ends and we may delete your data after a reasonable period.

We retain your account data (including estimates, invoices, and client information) while your account is active — meaning you hold an active credit balance. If your account becomes inactive (no credit purchase or activity for a period exceeding six (6) months / 180 days), we reserve the right to delete your stored data. Where required by law, we will attempt to notify you by email before deletion.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." FRUGALQUOTE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR SUCCESSFUL EMAIL DELIVERY.

14. Limitation of Liability

To the maximum extent permitted by California law, FrugalQuote LLC shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages. Our total liability shall not exceed the total amount you paid us in the twelve (12) months prior to the claim (or $100 if no payment was made).

15. Indemnification

You agree to indemnify and hold harmless FrugalQuote LLC, its owners, employees, and affiliates from any claims, losses, damages, and expenses (including reasonable attorney's fees) arising from your use of the Service, your User Content, the messages you send, or your violation of these Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.

17. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FrugalQuote. We may update these Terms and will notify you of material changes. If any provision is held invalid, the remainder remains enforceable.
